Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using any part of the Analyst Edge Solutions website or services, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Who May Use the Service

Our services are provided to eligible international customers only. By registering, you represent and warrant that you are:

• Resident in, and accessing the service from, a jurisdiction outside India;
• Not located in, or ordinarily resident in, a country or territory subject to applicable comprehensive sanctions;
• Not a person or entity listed on any applicable sanctions list, nor owned or controlled by such a person or entity;
• At least 18 years of age and legally competent to enter into binding contracts;
• Not using the service on behalf of any person or entity that would be disqualified by the above.

We may refuse or terminate service to any customer where permitted or required by applicable laws, sanctions programs, or export-control requirements.

3. Account Registration

You are responsible for providing accurate, current, and complete information when registering, and for keeping your account credentials confidential. You are responsible for all activity that occurs under your account.

We may suspend or terminate accounts where information is inaccurate, misleading, or in violation of these Terms.

4. Products and Services

Analyst Edge Solutions develops, licenses, and delivers software products and technology services. Product descriptions, features, and specifications are subject to change. Some products may be subject to additional terms (such as a Software Licence Agreement or a signed Statement of Work).

5. Orders and Acceptance

Placing an order through the platform is an offer to purchase, subject to acceptance by Analyst Edge Solutions. We may accept, reject, or hold orders in compliance review, or reject them where required by applicable law or our compliance policies.

6. Pricing, Currency, and Payment

Prices are displayed in the currency indicated on the product page and may change without notice. Payments are processed through the payment methods offered at checkout, which may include bank transfer and cryptocurrency. Payment does not entitle you to any product or licence until payment is verified and the applicable order is fulfilled.

The customer is responsible for any local taxes, duties, or withholdings that may apply on its side of the transaction.

7. Delivery and Licence Issuance

Once payment is verified and the applicable compliance review (if any) is complete, we will issue the licence key and/or make the deliverable available in your customer dashboard. Downloads, where applicable, are delivered via signed, time-limited URLs.

8. Licence Terms

Use of our software products is governed by the applicable Software Licence Agreement. Unless otherwise specified, licences are non-exclusive, non-transferable, and granted for internal business use only.

9. Refunds

Refund eligibility is described in our Refund Policy. Nothing in these Terms limits any statutory right you may have that cannot be waived by contract.

10. Acceptable Use

You agree not to:

• Use our services in violation of applicable laws, sanctions, or export controls;
• Reverse-engineer, decompile, or attempt to extract source code from any software except as permitted by law;
• Use the platform to transmit malware, spam, or unlawful content;
• Attempt to gain unauthorised access to the platform, other accounts, or supporting infrastructure;
• Resell, sub-licence, or redistribute our products without prior written consent.

11. Intellectual Property

All intellectual property rights in the platform, products, and deliverables remain the property of Analyst Edge Solutions or its licensors. You acquire only the rights expressly granted to you under these Terms or a separate licence agreement.

12. Support

Support is provided at the level associated with your purchase. The specific service levels, if any, will be described in the applicable product or enterprise agreement.

13. Termination

Either party may terminate these Terms if the other materially breaches them and does not cure the breach within 14 days of written notice. We may also suspend or terminate access immediately where required by law or for security or compliance reasons. Upon termination, you must cease using the products and confirm deletion of any licensed software.

14. Compliance and Export Controls

Our services are subject to applicable sanctions and export-control laws, including but not limited to applicable Indian export-control requirements, and applicable sanctions programs such as those administered by the United Nations, the European Union, and the United States (OFAC). We may screen customers and transactions, and may refuse or restrict transactions where required.

15. Disclaimers

Our products are technology tools. They do not constitute investment advice, financial advice, portfolio management, brokerage services, or a guarantee of trading performance, unless expressly stated and legally authorised. All services are provided "as is" and "as available," to the maximum extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, Analyst Edge Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. Our aggregate liability arising out of or relating to these Terms will not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Disputes shall be subject to the exclusive jurisdiction of the competent courts in India.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the platform. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
